Our opportunity for you:
Key responsibilities:
Provide company secretarial, corporate governance and board support services to a portfolio of private, listed and regulated companies, ensuring that their needs are interpreted precisely and responded to correctly and that clients are kept regularly informed of progress and costs.
Promptly and accurately filing Confirmation Statements and other Companies House forms where necessary; updating the Vistra records to ensure correlation with Companies House records.
Where appropriate, being prepared to support a senior member of the team at board, committee and shareholder meetings, including coordinating agendas and papers, assisting with preparation of first draft of accurate and comprehensive minutes.
To become fully conversant with the relevant systems, procedures and services of both the Specialist Corporate Governance department and Vistra Corporate Law (VCL). To work with colleagues to ensure that the work processes of the Specialist Corporate Governance department are carried out efficiently and effectively.
Ensure that all completed work is promptly invoiced, raising interim invoices as appropriate. Training will be provided.
Work closely with clients, identifying ways in which the team can develop the relationship and ensure client retention.
Work closely with other members of the Specialist Corporate Governance team in identifying areas where current systems and services can be developed.
Ensure that client files are compliant with current money laundering regulations, working with the VCL Team Administrator and Head of Operation to conduct ongoing client contact to ensure that the customer due diligence information requested is received within a reasonable time frame.
Identify, promote and develop commercial opportunities wherever possible and to keep clients informed of new products, services and changes in legislation.
Refer any complaints or testimonials to the appropriate manager immediately.
Perform ad-hoc requests at the request of the Head of Specialist Corporate Governance.
Attributes/Technical Skills:
Confidence in travelling independently to meetings throughout the UK, where required, and comfortable with occasional overnight stays.
Experience of company secretarial transactions, filing and notification requirements and using company secretarial software.
Proactive and self-motivated.
Personable and enthusiastic team player, with a confident, professional and commercial outlook.
Excellent written and oral communication skills.
Attention to detail.
Capable of working under pressure and with minimal supervision.
Appreciation of where work needs to be checked by/discussed with more senior members of the team
Relevant Experience:
Experience of liaising with a variety of stakeholders/board members is desirable but not essential.
Enthusiasm at developing board and committee meeting minute taking skills.
Experience in providing services to clients, both in person, in writing and by telephone.
Education and Professional Qualifications:
Educated to degree level, working towards CGI qualification and preferably with a minimum of 2 years’ experience in the company secretarial field.
Computer Skills:
Computer literate.
