Role Overview and Key Responsibilities:

This position is designed to support the Company Secretary in delivering essential board and governance advisory services to Citigroup Global Markets Europe AG. You will act as a trusted advisor to the Management Board, Supervisory Board, and their respective Committees, playing a crucial role in ensuring the integrity of the governance framework and the efficient administration of the company. As a central point of contact for governance-related matters, you will collaborate closely with the Company Secretary and Legal Counsel to ensure compliance with statutory and regulatory requirements, and to effectively communicate and implement board decisions. This role also involves close coordination with Company Secretarial colleagues across Citi's global network.

What You'll Be Doing (Board Services):

  • Strategic Agenda Setting: Work in close partnership with Board chairs to shape board agendas.
  • Comprehensive Meeting Management: Prepare meeting packs, attend, and meticulously record minutes for regular and extraordinary governance meetings of the Management Board, Supervisory Board, its committees, and Shareholder meetings.
  • Action Item Tracking: Proactively follow up and track post-board meeting action items to ensure timely execution.
  • Calendar Management: Assist in the scheduling and maintenance of board meeting dates and calendars.
  • Stakeholder Engagement: Interact effectively with a diverse range of internal and external stakeholders.

What You'll Be Doing (Governance Services):

  • Board Development: Organize and facilitate board training, tutorials, and in-depth sessions to enhance director knowledge and effectiveness.
  • Board Effectiveness Support: Contribute to the annual board self-evaluation process, skill and suitability assessments, and succession planning initiatives.
  • Onboarding and Induction: Support the onboarding and induction process for new board members.
  • Regulatory Reporting: Participate in reporting board decisions in accordance with German and EU regulations.
  • Information Flow Management: Ensure seamless information flow between the Board, its committees, senior management, and key offices (e.g., CEO, CAO).
  • Document Maintenance: Maintain and update key governance documents including terms of reference, charters, by-laws, and articles of association.
  • Audit and Regulatory Liaison: Provide requested information to regulators, external auditors, and Internal Audit.
